These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dyagnosys Wellbeing FZCO, a company registered in the United Arab Emirates, with offices in Brasília, Brazil and Ras Al Khaimah, UAE ("Company," "we," "us," or "our"), governing your access to and use of our mental health assessment platform, including all related websites, applications, and services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OURPrivacy Policy. IF YOU DO NOT AGREE TO ALL TERMS AND CONDITIONS, DO NOT USE THE SERVICE.
"Account" means your user account created to access the Service.
"Assessment Data" means all data collected during mental health screenings, including questionnaire responses and biometric insights.
"Biometric Data" means facial expression analysis, voice tone analysis, and related physiological indicators captured during assessments.
"Content" means text, graphics, images, and other material available on or through the Service.
"Healthcare Professional" means a licensed medical doctor, psychologist, psychiatrist, or other qualified mental health provider.
"Organization" means an employer, healthcare provider, or other entity that provides access to the Service to its employees or members.
"Subscription" means any paid plan providing access to premium features of the Service.
Dyagnosys Wellbeing is a digital mental health assessment platform that provides:
CRITICAL: Dyagnosys Wellbeing is NOT a medical device and does NOT provide medical diagnosis.
No Medical Advice: The Service provides informational assessments only and does not constitute medical advice, diagnosis, or treatment of any kind.
Not a Substitute: Our assessments are not substitutes for professional medical advice, diagnosis, or treatment from a qualified Healthcare Professional.
Professional Consultation: Always seek the advice of a qualified Healthcare Professional for any questions regarding mental health conditions.
Emergency Situations: If you are experiencing a mental health emergency or are in crisis, please contact emergency services immediately. In the US, call 988 (Suicide & Crisis Lifeline). In Brazil, call CVV at 188. In the UAE, call 800-HOPE (4673).
Regulatory Status: Dyagnosys Wellbeing has not been evaluated by the FDA, ANVISA, or other regulatory agencies as a medical device.

Users aged 13-17: May use the Service only with verifiable parental or guardian consent. A parent or guardian must create and supervise the account.
To access certain features, you must create an Account. You agree to:
We reserve the right to suspend or terminate Accounts that violate these Terms.
You agree NOT to:
Payments are processed securely through our payment partners. EU/UK customers: processed by Paddle (Merchant of Record). Other regions: processed by Stripe. We do not store your full payment card details.
Subscriptions automatically renew unless cancelled before the renewal date. You will receive a reminder email 7 days before renewal.
You may cancel your Subscription at any time through Account Settings. Cancellation takes effect at the end of the current billing period.
Paddle (our Merchant of Record) offers a 14-day money-back guarantee on all purchases. If you are not satisfied with your purchase, you may request a full refund within 14 days of the transaction date by contacting support@dyagnosys.com. Refunds are processed automatically by Paddle.
For customers in EU/UK: Paddle.net acts as the Merchant of Record for our store. You are entitled to a full refund within 14 days of purchase, no questions asked. To request a refund, contact support@dyagnosys.com or manage your subscription directly in your Paddle account.
For customers in other regions: Refunds are provided on a case-by-case basis within 14 days of purchase. Contact support@dyagnosys.com.
The Service, including all original content, features, functionality, assessments, algorithms, trademarks, service marks, logos, and associated intellectual property, is owned by Dyagnosys Wellbeing FZCO and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Limited License: We grant you a non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.
Restrictions: You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service without our prior written consent.
Your use of the Service is also governed by ourPrivacy Policy, which describes how we collect, use, and protect your personal information.
Biometric Data: All biometric analysis (facial expressions, voice tone) is performed locally on your device. Raw biometric data is never transmitted to our servers. Only derived insights (e.g., "elevated stress indicators") are stored.
Data Rights: You retain ownership of your Assessment Data. You may export or delete your data at any time through Account Settings.
The Service may integrate with or link to third-party services. We are not responsible for:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYAGNOSYS WELLBEING FZCO AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
You agree to indemnify, defend, and hold harmless Dyagnosys Wellbeing FZCO and its affiliates, directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Content or conduct.
By You: You may terminate your Account at any time through Account Settings or by contacting support. Upon termination, your right to use the Service ceases immediately.
By Us: We may suspend or terminate your Account and access to the Service, without notice, for any reason, including violation of these Terms, fraudulent behavior, or extended periods of inactivity.
Effect: Upon termination, your Assessment Data will be retained for 30 days, after which it will be permanently deleted in accordance with our Privacy Policy.
We reserve the right to modify, suspend, or discontinue the Service, or any feature thereof, at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. Material changes affecting core functionality will be communicated via email with at least 30 days notice.
Informal Resolution: Before filing any legal action, you agree to contact us at legal@dyagnosys.com to attempt to resolve the dispute informally.
Arbitration: If informal resolution fails, any dispute shall be resolved through binding arbitration administered by the International Chamber of Commerce (ICC) under its Arbitration Rules.
Class Action Waiver: You agree not to participate in class actions, class arbitrations, or representative actions against us.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
For users in Brazil, disputes may alternatively be resolved under Brazilian law and in the courts of Brasília, Federal District, at your election.
